Terms of Service
These Terms of Service (“Terms”) apply to all business services provided by Kulpreet Pty Ltd (ABN 83 702 552 887) (“we”, “us”, “our”) to you (“the Client”). By engaging us, accepting a quote from us, or using our website at https://kulpreet.site, you agree to be bound by these Terms.
1. About these Terms
These Terms, together with any signed engagement letter or accepted quotation, form the entire agreement between us and the Client in relation to the services provided. Where there is any inconsistency between a signed engagement letter and these Terms, the engagement letter will prevail to the extent of the inconsistency.
2. Our Services
We provide a range of business services to small businesses and organisations, including administration support, bookkeeping assistance, business planning, documentation and advisory services. The specific scope of services for each engagement will be set out in the relevant quotation or engagement letter. Any services outside that agreed scope may require a revised quote and additional fees.
3. Quotes and Engagement
- Quotations provided by us are valid for 30 days from the date of issue unless otherwise stated.
- A quotation is an estimate based on the information available at the time it is prepared. If the scope of work changes, we will advise you and provide an updated quotation before proceeding.
- An engagement commences when you accept a quotation in writing (including by email) or otherwise instruct us to proceed.
4. Fees, Invoicing and Payment
- Fees are as set out in the accepted quotation or engagement letter, and are payable in Australian dollars (AUD).
- Invoices are payable within 14 days of the date of issue unless alternative terms are agreed in writing.
- We may charge interest on overdue amounts at a rate of 2% per month, calculated daily, and may suspend services until outstanding amounts are paid.
- You agree to provide accurate and complete information reasonably required for us to perform the services. Delays caused by incomplete information may affect timelines and fees.
5. GST
All fees quoted are inclusive of GST where applicable, unless expressly stated otherwise. Tax invoices will be issued in accordance with A New Tax System (Goods and Services Tax) Act 1999 (Cth).
6. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified by agreement.
Our services come with guarantees under the Australian Consumer Law that cannot be excluded. You are entitled to a remedy if the services fail to meet these guarantees. If you believe the services we have provided do not meet a consumer guarantee, please contact us at ceo@kulpreet.site so we can work with you to resolve the matter.
7. Limitation of Liability
To the fullest extent permitted by law, and except as set out in clause 6, we are not liable for any indirect, incidental, special or consequential loss or damage, loss of profit, or loss of business opportunity arising from the services. Where the Australian Consumer Law applies and we are liable for a failure to comply with a consumer guarantee that cannot be excluded, our liability is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.
8. Client Responsibilities
You agree to: (a) provide timely, accurate and complete information; (b) obtain any consents required for us to access third-party records on your behalf; (c) ensure information provided to us does not infringe the rights of any third party; and (d) review materials we provide before relying on them for any legal, taxation or compliance purpose.
9. Intellectual Property
All pre-existing materials, templates, systems and methodologies used by us remain our intellectual property. Upon full payment of our fees, the Client is granted a non-exclusive, non-transferable licence to use any deliverables prepared specifically for the Client for its own business purposes.
10. Confidentiality and Privacy
Both parties agree to keep confidential information received from the other party confidential and not to disclose it except as required to perform the services or by law. Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.
11. Termination
Either party may terminate an engagement by giving 14 days’ written notice. Upon termination, you must pay for all services performed up to the date of termination. Clauses relating to liability, intellectual property and confidentiality survive termination.
12. Amendments
We may update these Terms from time to time. The current version will always be published on this page, and the version applicable to your engagement is the version current at the time you accept a quotation or engagement letter.
13. Governing Law
These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia.
